Welcome to NICHI. NICHI is a brand operated by UBANESE, LLC ("UBANESE," "we," "us," or "our"), a California limited liability company. By accessing or using this website (the "Site"), joining the Matcha Club, or interacting with NICHI, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the Site.

1. The Site

The Site currently provides information about NICHI, our popup events, and the Matcha Club email list. No products are sold through the Site at this time. When online sales, subscriptions, or other commerce features launch, additional terms (including shipping, returns, and payment terms) will be posted and will apply to those transactions.

2. Matcha Club

By joining the Matcha Club, you agree to receive emails from NICHI about popup locations, new drinks, and early access announcements. You can unsubscribe at any time via the link in any email. Joining the Club is free and creates no obligation to purchase anything.

3. Popup Events

Popup dates, times, locations, and menu items are subject to change or cancellation without notice. Menu availability is limited; items may sell out. Prices displayed on the Site or at popups may change at any time. Allergen information is available on request at the popup; please inform our staff of any allergies before ordering.

4. Intellectual Property

The Site and its contents — including the NICHI name, logo, 日々 mark, text, images, menu names, and design — are owned by UBANESE, LLC or its licensors and are protected by trademark, copyright, and other laws. You may not use, reproduce, or create derivative works from our content without our prior written permission, except for personal, non-commercial viewing and sharing that credits NICHI.

5. Acceptable Use

You agree not to: use the Site for any unlawful purpose; attempt to interfere with the Site's operation or security; scrape, harvest, or collect information from the Site by automated means; or impersonate NICHI or UBANESE, LLC.

6. Third-Party Links and Services

The Site may link to third-party websites and services (such as Instagram, TikTok, or our operator's site). We are not responsible for the content or practices of third parties. Your use of third-party services is governed by their own terms.

7. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure. Information about our matcha (including origin, harvest, and processing) is provided in good faith and to the best of our knowledge.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UBANESE, LLC AND ITS MEMBERS, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless UBANESE, LLC from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

10. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Site will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted here with a new "Last updated" date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
